Terms of Service

Last updated: 6 October 2026

1. Introduction

These Terms of Service ("Terms") govern your use of the services provided by Falcon Hosting Ltd, a company registered in England and Wales under company number 15676555, whose registered office is at Anglo Dal House, 5 Spring Villa Park, Spring Villa Road, Edgware, Middlesex, HA8 7EB, United Kingdom ("we", "us", "our", "Falcon Hosting").

By purchasing, accessing, or using our VPS, Minecraft server, container hosting or managed services under either the Falcon Hosting or AwakeNode brand (awakenode.co.uk), you agree to be bound by these Terms. If you do not agree, you must not use our services.

AwakeNode is a trading name of Falcon Hosting Ltd. One account can be used on both sites; the brand shown on an order and service identifies where it was purchased, and Falcon Hosting Ltd remains your contracting party and payment recipient.

2. Definitions

  • "Account" means your registered account on our shared billing platform or any associated panel, accessible through either brand's site.
  • "Service" or "Services" means any hosting product, virtual private server, or associated service we provide.
  • "Content" means any data, files, applications, websites, databases, or other material stored on or transmitted through our infrastructure by you.
  • "Control Panel" means any management interface we provide, including but not limited to our VPS control panel or our billing portal.
  • "You" or "Customer" means the individual or entity that has registered an account and/or purchased services from us.

3. Eligibility and Right to Refuse Service

You must be at least 16 years of age to use our services. If you are under 18, you confirm that you have the consent of a parent or legal guardian. By creating an account, you represent that the information you provide is accurate and complete.

Falcon Hosting Ltd reserves the right to refuse service to any individual or entity at our sole discretion, without requirement to provide justification. This includes, but is not limited to, refusing to accept orders, cancelling pending orders, or declining to activate services.

4. Account Registration and Security

4.1 Account Creation

To use our services, you must create an account through our billing platform. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your password. You are responsible for activities under your account. If you become aware of unauthorised access, notify us promptly through a support ticket.

4.3 One Account Per Person

Each individual may only hold one billing account unless expressly authorised by us. We reserve the right to merge or terminate duplicate accounts.

5. Services and Provisioning

5.1 Service Activation

Services are typically provisioned automatically upon receipt of payment. In some cases, manual verification may be required, which may delay provisioning by up to 24 hours. We aim to provision all services as quickly as possible but do not guarantee instant activation. For the avoidance of doubt, refund periods (Section 6.5) begin from the date of service activation, not the date of order or payment.

5.2 Service Specifications

Resource allocations (CPU, RAM, storage, bandwidth) are as described on the product page at the time of purchase. We reserve the right to modify hardware specifications provided the overall service quality meets or exceeds the original specification.

5.3 Fair Usage Policy - Unmetered Bandwidth

"Unmetered" bandwidth means we do not charge per GB of data transfer. It does not mean unlimited or unrestricted usage. Unmetered bandwidth is subject to the following fair usage policy:

  • Sustained usage consistently exceeding 70% of the allocated port speed for more than 2 consecutive hours may be considered excessive.
  • Usage that negatively impacts network performance, node stability, or other customers on shared infrastructure may be throttled or restricted.
  • We will make reasonable efforts to notify you before taking action, except in cases of immediate network impact.
  • Persistent or repeated fair usage violations may result in service suspension or a requirement to upgrade to a higher-tier plan.

This policy exists to ensure fair access to shared network resources for all customers. If you anticipate consistently high bandwidth needs, please contact us to discuss dedicated or higher-capacity options.

5.4 Control Panels

We provide access to management panels appropriate to your service type:

  • VPS Hosting: our in-browser control panel for managing your virtual server, including start/stop, reinstall, console access, and resource monitoring, running on Proxmox VE.
  • Billing: our billing portal for invoices, payments, support tickets, and service management.
  • Minecraft and container hosting: our game and application panel for console access, files, backups, schedules and service settings. Available controls depend on the product.

5.5 IP Addresses

IP addresses allocated to your service remain the property of Falcon Hosting Ltd and/or our upstream providers. IP addresses are assigned for the duration of your active service and may be reassigned after service termination.

5.6 Fair Usage Policy - Unmetered Minecraft Storage

Minecraft plans include unmetered storage, subject to fair use. We do not charge per GB of storage or bill automatic storage overages. Unmetered storage is shared node capacity and does not mean unlimited physical disk space.

Every Minecraft plan starts with a 10 GB soft storage limit. This is a usage review threshold, not a hard disk quota or an automatic server cutoff. Previously agreed service allowances and approved storage increases remain valid.

  • Storage is for your Minecraft worlds, server software, mods, plugins and related configuration. It must not be used for unrelated file hosting, general-purpose archives or excessive retained logs.
  • If your world or modpack needs more space, use Request a storage increase in the Support tab of that service in your billing account. Include the requested soft limit in GB and why it is needed.
  • Support reviews requests against the server's needs and available node capacity. An increase takes effect once we approve and record it on your service.
  • Exceeding a soft limit alone does not automatically suspend the service, delete server data or generate charges. We may contact you to review usage, remove unnecessary files or arrange a suitable allowance.
  • Usage that threatens node stability or other customers may be restricted under the resource abuse policy in Section 7.2. We will make reasonable efforts to contact you before action, except where immediate action is necessary to protect the shared service.

Managed world backups have a separate retention policy; their backup archives are not counted in your live server data's soft storage limit. Archives or backups kept inside your server's files do count.

5.7 Minecraft and Container Addresses

Where available, you may choose a free subdomain for a Minecraft server or container. The address is assigned for the service and may be changed or released when the service ends. You may also connect a domain you control by setting the required DNS records. You remain responsible for registering and renewing your own domain and maintaining its DNS settings. Minecraft Java and Bedrock use different connection records, and Bedrock players may still need to enter a port. Container domains and HTTPS require the relevant host's domain proxy to be enabled.

5.8 Container Hosting

Container hosting lets you deploy a Docker image you choose, subject to the resource and image limits shown at order and in the panel. You are responsible for the image, its source and licence, application security, configuration, environment variables and any data it processes. Redeploying may interrupt your application. Data outside the persistent storage path configured for your service may be lost when a container is replaced. We do not provide a managed application or guarantee that a particular image will run.

5.9 Free Trials

Where a plan offers a free trial, its length and any card-verification requirement are shown at checkout. Trials are limited to one per account across eligible services and may be subject to additional abuse checks. A trial does not convert to a paid service unless you choose to pay. At the end of the trial the service is paused; if you do not pay to keep it, the service and its hosted data are scheduled for removal after a further 7 days. Keep your own copy of any data you want to retain.

6. Payment and Billing

6.1 Pricing

All prices are listed in British Pounds Sterling (GBP). Falcon Hosting Ltd is not currently registered for VAT, so no VAT is charged on our services and the price shown is the total amount payable. We reserve the right to change pricing with at least 30 days' written notice. Price changes will not affect services during their current billing period. Continued use of the service after the start of a new billing period at the updated price constitutes your acceptance of the revised pricing. If you do not agree with a price change, you may cancel your service before the new billing period begins.

6.2 Billing Cycles

Services are billed in advance on a recurring basis according to the billing cycle you selected at purchase (monthly or annually). Invoices are generated automatically and sent to your registered email address.

6.3 Payment Methods and Processors

We accept cards, PayPal and available digital wallets through Stripe, or direct bank transfer to our UK business bank account (reconciled via Starling Bank). Available methods are shown at checkout. We do not store full card numbers, CVV codes or payment authentication data on our servers. Stripe handles payment credentials; we retain billing and transaction records for accounting and regulatory purposes.

6.4 Late Payment

Invoices are due on the date specified. If payment is not received:

  • 1 day overdue: A reminder is sent to your registered email address.
  • 3 days overdue: Your service may be suspended. Suspended services remain on our infrastructure but are inaccessible.
  • Continued non-payment: Your service may be terminated after suspension or cancellation of its subscription, and its hosted data may then be deleted.

We are not obligated to retain any data after service termination. It is your responsibility to maintain your own backups.

6.5 Refunds

We offer a 7-day money-back guarantee on new services, starting from the date of initial activation. To request a refund, contact us via support ticket within this period. Refunds are issued to the original payment method. The following are excluded from our refund policy:

  • Services that have been suspended or terminated for Terms of Service violations.
  • Domain registrations, SSL certificates, or other third-party products.
  • Services that have been used for purposes that violate these Terms.
  • Renewal payments (the 7-day guarantee applies to first-time purchases only).

6.6 Your Right to Cancel (Consumers)

If you are a consumer, you have the right to cancel your order within 14 days of placing it, without giving any reason, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

  • Starting straight away: When you order, you ask us to start your service straight away, within the 14-day cancellation period. We record that request with your order.
  • If you cancel within 14 days: We will refund what you paid, less a proportionate amount for the service provided up to the time you told us you were cancelling. We will refund you within 14 days of your cancellation, to your original payment method.
  • When the right ends: You lose the right to cancel once the service has been fully provided.
  • How to cancel: Tell us clearly that you want to cancel through a support ticket or by writing to us at Anglo Dal House, 5 Spring Villa Park, Spring Villa Road, Edgware, Middlesex, HA8 7EB, United Kingdom. You can use the model cancellation form below, but you don't have to.

Our 7-day money-back guarantee (Section 6.5) applies in addition to, and independently of, this right. It does not affect your other statutory rights.

Model cancellation form (complete and return this form only if you wish to cancel the contract):

To Falcon Hosting Ltd, Anglo Dal House, 5 Spring Villa Park, Spring Villa Road, Edgware, Middlesex, HA8 7EB, United Kingdom:
I/We hereby give notice that I/We cancel my/our contract for the supply of the following service: [service],
Ordered on: [date],
Name of consumer(s): [name],
Address of consumer(s): [address],
Signature of consumer(s) (only if this form is notified on paper),
Date: [date]

6.7 Chargebacks and Fraudulent Disputes

If you initiate a chargeback or payment dispute through your bank, card issuer, or Stripe, the following applies:

  • Immediate suspension: Your service will be suspended immediately upon notification of the chargeback or dispute, pending resolution.
  • Administration fee: A £10 administration fee may be applied to your account to cover the costs incurred by us in responding to the dispute. This fee is in addition to the original invoice amount.
  • Resolution: If the chargeback is resolved in our favour, you will be required to pay the original invoice amount plus any applicable administration fee before your service is reactivated.
  • Fraudulent disputes: If we reasonably determine that a chargeback or dispute was filed fraudulently (i.e., the service was delivered as described and used by you), we reserve the right to terminate your account without refund and report the matter to the relevant payment processor and, where appropriate, to law enforcement.

We encourage you to open a support ticket about billing concerns before initiating a chargeback. Most issues can be resolved through our support team.

7. Acceptable Use Policy

7.1 Prohibited Activities

You may not use our services for any of the following:

  • Any activity that violates applicable United Kingdom or international law.
  • Distribution of malware, viruses, trojans, or any malicious software.
  • Sending unsolicited bulk email (spam), operating open mail relays, or participating in email abuse.
  • Hosting, distributing, or linking to child sexual abuse material (CSAM). This will result in immediate termination without notice and referral to law enforcement.
  • Distributed denial-of-service (DDoS) attacks - initiating, facilitating, or hosting booter/stresser tools.
  • Phishing, fraud, identity theft, or impersonation.
  • Cryptocurrency mining of any kind on any service. This prohibition applies regardless of the mining method, algorithm, or resource impact. Any service found to be running mining software will be suspended immediately without prior notice.
  • Hosting proxy or VPN services designed to circumvent legal restrictions or facilitate illegal activity.
  • Copyright infringement or hosting pirated content, including but not limited to unlicensed software, media, or game files.
  • Port scanning, network probing, or attempting to access systems you do not have authorisation to access.
  • Running TOR exit nodes.
  • Any activity that causes excessive load on shared infrastructure to the detriment of other customers.

7.2 Resource Abuse

Services come with defined resource limits. You must not attempt to exceed these limits, exploit vulnerabilities in our platforms, or use resources in a way that negatively impacts other customers. We reserve the right to suspend services that consume excessive shared resources (CPU, I/O, network) after giving reasonable notice where possible.

7.3 Consequences of Violation

Violations of the Acceptable Use Policy may result in:

  • A warning and request to rectify the issue.
  • Temporary suspension of your service.
  • Immediate termination without refund in the case of severe violations.
  • Reporting to relevant authorities where required by law.

8. Data Protection and Privacy

8.1 Applicable Legislation

Both parties agree to comply with all applicable data protection legislation, including but not limited to the UK General Data Protection Regulation (UK GDPR) as retained under the European Union (Withdrawal) Act 2018, and the Data Protection Act 2018 ("Data Protection Legislation"). References to "personal data", "data controller", "data processor", "data subject", "processing", and "personal data breach" have the meanings given to them in the UK GDPR.

8.2 Data Controller and Processor Roles

The data protection roles under these Terms are as follows:

  • Falcon Hosting as Data Controller: We act as the data controller for personal data we collect directly from you for the purpose of providing our services - including your account information (name, email, phone number, company name), billing records, support ticket content, and any data collected through our website and billing platform. Our processing of this data is governed by our Privacy Policy.
  • Falcon Hosting as Data Processor: For personal data that you (or your end users) store on our hosting infrastructure - including game worlds and logs, container applications and databases, and data hosted on your VPS - you are the data controller and we are the data processor. We process this data on your documented instructions to provide the hosting services you purchase. We access or use it as necessary to operate the infrastructure, provide features you use, troubleshoot at your request, or comply with legal obligations.

8.3 Our Obligations as Data Processor

Where we act as a data processor for your hosted data, we commit to the following in accordance with Article 28 of the UK GDPR:

The subject matter is the personal data you place on or transmit through your hosting service. Processing lasts for the service term and any backup deletion period in Section 8.3. Its nature and purpose are storage, transmission, backup, restoration, and other operations needed to provide the features you use. The types of data and categories of people depend on what you choose to host and may include your users, players, visitors, staff and customers. You determine those details and remain responsible for your instructions.

  • Process personal data only on your documented instructions, unless required to do so by applicable law.
  • Ensure that persons authorised to process the personal data are subject to confidentiality obligations.
  • Implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk, including encryption in transit (TLS/SSL), physical security at our datacentre facilities, access controls, and DDoS mitigation.
  • Not engage another processor (sub-processor) without your prior general authorisation. A list of our current sub-processors is provided in Section 8.5. We will notify you of any intended changes to sub-processors, giving you the opportunity to object.
  • Impose data protection obligations on sub-processors that provide the protection required by Article 28 and remain responsible to you for their performance.
  • Assist you, insofar as is reasonably possible, in responding to data subject access requests (DSARs) and other data subject rights under the UK GDPR.
  • Assist you in ensuring compliance with your obligations regarding security, breach notification, data protection impact assessments, and prior consultation with the ICO.
  • At your choice, return or delete all personal data at the end of the service. You can download your hosted data at any time before your service ends, or ask us before termination to help return it. Hosted data is deleted when your service is terminated, and backups are deleted within 30 days of termination, unless applicable law requires us to keep it.
  • Make available to you all information reasonably necessary to demonstrate compliance with Article 28 obligations and allow for and contribute to audits and inspections. Audit rights are subject to the following: (a) you must provide at least 30 days' written notice; (b) audits may not be conducted more than once per 12-month period unless required by a regulatory authority; (c) audits shall be conducted during normal business hours and shall not disrupt our operations; (d) the reasonable costs of the audit shall be borne by you; and (e) remote audits (documentation and questionnaire-based) are preferred where feasible.

8.4 Your Obligations as Data Controller

Where you use our services to store, process, or transmit personal data of third parties (such as your website visitors, customers, or end users), you acknowledge and agree that:

  • You are the data controller for that data and are responsible for complying with all applicable Data Protection Legislation.
  • You have obtained all necessary consents, legal bases, and authorisations required to store and process that data on our infrastructure.
  • You are responsible for implementing your own privacy policy, cookie consent mechanisms, and data subject rights processes for your end users.
  • You will not use our services to process special category data (as defined in Article 9 of the UK GDPR) unless you have appropriate safeguards and legal bases in place.
  • You will notify us promptly if you become aware of any data breach affecting personal data stored on our infrastructure.

8.5 Sub-Processors

We use the following sub-processors in the course of providing our services:

  • Datacentre and network providers, including Path.net (DDoS protection) - physical hosting, network connectivity and attack mitigation. They process network-level data such as IP addresses and traffic patterns and have physical access to hardware.
  • Hetzner Online GmbH (EU) - servers for some game servers and containers, and storage for backups.
  • Cloudflare, Inc. - DNS records for free server addresses. These records identify the chosen hostname and its server address; Cloudflare does not proxy the hosting traffic for these addresses.
  • Google LLC (United States) - Gemini AI, used to explain game server crashes. When a game server crashes, the relevant part of its log is sent to Google with IP addresses and email addresses removed. We use Google's paid service, under which Google does not use this data to train its models.
  • Microsoft Corporation (United States) - email delivery (Microsoft 365) for the emails we send you, which can include details of your service, such as extracts of logs you share with us in support tickets.
  • Stripe (Stripe Payments Europe Ltd) and Starling Bank Limited - payments. They process billing data, not your hosted data.

We will notify you of intended changes to sub-processors before they take effect, giving you a reasonable opportunity to object through a support ticket. Updating this page alone is not individual notice.

8.6 Data Breach Notification

In the event of a personal data breach (as defined in Article 4(12) of the UK GDPR) affecting data for which we act as processor, we will:

  • Notify you without undue delay after becoming aware of the breach.
  • Provide you with sufficient information to enable you to meet your own breach notification obligations to the ICO and affected data subjects.
  • Take reasonable steps to contain and mitigate the breach.
  • Cooperate with you and any relevant authorities in investigating the breach.

8.7 Data Processing Agreement

If you require a separate Data Processing Agreement (DPA), request one through a support ticket.

8.8 Privacy Policy

Full details of how we collect, use, store, and protect your personal data (as data controller) are set out in our Privacy Policy, which forms part of these Terms. By using our services, you confirm that you have read and understood our Privacy Policy.

9. Content and Data

9.1 Your Content

You retain full ownership of all content you upload to or store on our services. We do not claim any intellectual property rights over your content. You grant us a limited licence to store, transmit, and display your content solely for the purpose of providing the services you have purchased.

9.2 Backups and Data Integrity

While we may perform routine backups of certain services (as described in individual product descriptions), you are solely responsible for maintaining independent, off-site backups of your data. We do not guarantee the availability, integrity, or completeness of any backup. We are not liable for data loss except where such loss is directly caused by our proven negligence or wilful misconduct.

For the avoidance of doubt:

  • RAID is not a backup. Our use of RAID or other redundant storage configurations is designed to improve availability and performance, not to serve as a data backup mechanism. Hardware failures, including RAID controller or drive failures, can still result in data loss.
  • Your failure to maintain independent off-site backups may constitute contributory negligence in any claim for data loss, and may reduce or eliminate any liability on our part.
  • We strongly recommend that all customers maintain regular, automated backups of their data to an independent, off-site location.

9.3 Data Location

Virtual servers are hosted in the United Kingdom. Some game servers, containers and backups are hosted in the EU by Hetzner. Game server crash logs may be sent to Google in the United States for analysis, with IP addresses and email addresses removed (Section 8.5). DDoS mitigation and upstream network providers may process network-level metadata (such as IP addresses and traffic patterns) outside the UK/EEA as part of their normal operations. Transfers outside the UK are protected by UK adequacy regulations or appropriate safeguards, as described in our Privacy Policy.

9.4 Content Removal

We reserve the right to remove or disable access to content that violates these Terms, applicable law, or the rights of third parties. Where possible, we will notify you before taking action, unless the content poses an immediate risk or legal compliance requires immediate removal.

10. Service Modifications and Discontinuation

We may modify, upgrade, or discontinue any service at any time. Where a service is being discontinued, we will provide at least 30 days' notice and offer migration assistance where reasonably practical. We are not liable for any losses arising from service modifications or discontinuation provided reasonable notice has been given.

11. Limitation of Liability

11.1 Service Interruptions

The 99.9% uptime commitment and service credits for eligible paid hosting are set out in our Service Level Agreement. The SLA sets out how downtime is measured and what is excluded. We do not guarantee uninterrupted or error-free service.

11.2 Maximum Liability

To the maximum extent permitted by law, our total liability for any claims arising from or related to the services shall not exceed the total amount you paid to us in the 3 months preceding the event giving rise to the claim.

11.3 Exclusion of Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, regardless of whether we were advised of the possibility of such damages.

11.4 Consumer Rights

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under English law. Your statutory rights as a consumer are not affected.

12. Suspension and Termination

12.1 Termination by You

You may cancel your services at any time through your billing account or by submitting a support ticket. Cancellations take effect at the end of your current billing period, unless otherwise agreed in writing. No refunds are issued for unused time remaining in a billing period, except under the 7-day money-back guarantee (Section 6.5) or your right to cancel within 14 days (Section 6.6).

12.2 Termination by Us

We may suspend or terminate your services immediately if:

  • You breach these Terms of Service or Acceptable Use Policy.
  • Your payment is overdue as described in Section 6.4.
  • Your use of the service poses a risk to our infrastructure, other customers, or third parties.
  • We are required to do so by law or legal process.

12.3 Effect of Termination

Upon termination, your access to the service and all associated data will be permanently removed in accordance with our data retention policy (see Section 8 and our Privacy Policy). We are not obligated to retain any data after termination. It is your responsibility to download any data you wish to keep before your service ends.

13. Intellectual Property

All trademarks, logos, branding, software, and content on our website and platforms (excluding customer content) are the property of Falcon Hosting Ltd or their respective owners. You may not use our branding, logos, or trademarks without prior written permission.

14. Indemnification

You agree to indemnify, defend, and hold harmless Falcon Hosting Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms, unlawful use of the services, infringement of third-party rights, or your content hosted on our infrastructure.

15. Force Majeure

Neither party shall be liable for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party ("Force Majeure Event"). Force Majeure Events include, but are not limited to:

  • Acts of God, natural disasters, earthquakes, floods, storms, or extreme weather events.
  • War, armed conflict, terrorism, civil unrest, or sanctions.
  • Epidemics, pandemics, or public health emergencies.
  • Labour disputes, strikes, or industrial action (excluding disputes involving solely our own employees and within our reasonable control).
  • Power grid failures, telecommunications failures, or internet backbone outages beyond our network.
  • Governmental actions, laws, regulations, embargoes, or sanctions.
  • Cyberattacks of unprecedented scale that overwhelm industry-standard defences.
  • Failure of upstream infrastructure providers or third-party services beyond our control.

The affected party shall notify the other party as soon as reasonably practicable of the Force Majeure Event and its expected duration. If a Force Majeure Event continues for more than 30 consecutive days, either party may terminate the affected services by providing written notice. In such case, you will receive a pro-rata refund for any prepaid period during which the service was unavailable due to the Force Majeure Event.

16. Dispute Resolution

If you have a complaint, please open a support ticket or write to our registered office. We will attempt to resolve disputes informally. If a dispute cannot be resolved informally within 30 days, it shall be subject to the exclusive jurisdiction of the courts of England and Wales.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to your registered address and/or by posting a notice on our website at least 14 days before the changes take effect. Your continued use of the services after changes take effect constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, including the UK GDPR, Data Protection Act 2018, and the Consumer Rights Act 2015. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the English courts.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and Service Level Agreement, constitute the entire agreement between you and Falcon Hosting Ltd in relation to your use of our services. They supersede all prior or contemporaneous communications, proposals, representations, and agreements, whether oral or written, relating to the subject matter herein. No statement, representation, warranty, or other promise not explicitly set out in these Terms shall be binding on either party.

21. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, in whole or in part, without your consent as part of a business restructuring, merger, acquisition, sale of assets, or by operation of law. In the event of such assignment, we will notify you and the assignee will be bound by these Terms.
